Terms of Service
Effective date: 01 January 2025
Article 1. Purpose
THE TERMS AND CONDITIONS SET FORTH BELOW (THE “TERMS”) GOVERN YOUR USE OF THE WEBSITE LOCATED AT WWW.MEMORY-LABS.AI (THE “SITE”) AND THE MEMORY LABS LEARNING-PLATFORM SERVICE AND APPLICATIONS (COLLECTIVELY, THE “SERVICE”). YOU MAY ACCESS AND USE THE SERVICE EITHER DIRECTLY THROUGH THE SITE OR INDIRECTLY THROUGH OUR THIRD-PARTY PARTNER WEBSITES AND/OR APPLICATIONS. THESE TERMS ARE A LEGAL CONTRACT BETWEEN YOU AND MEMORY LABS LTD. (“MEMORY LABS,” “WE,” “US,” OR “OUR”) AND GOVERN YOUR ACCESS TO, AND USE OF, THE SERVICE AND THE SITE.
IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, DO NOT ACCESS OR OTHERWISE USE THE SITE, THE SERVICE, OR ANY INFORMATION CONTAINED ON THE SITE. YOUR USE OF THE SITE OR SERVICE CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS. MEMORY LABS MAY MODIFY THE SITE, THE SERVICE, OR THESE TERMS AT ANY TIME IN ITS SOLE DISCRETION.
NOTE: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND A ONE-YEAR LIMITATION PERIOD FOR CLAIMS. PLEASE READ CAREFULLY.
General-Use Restrictions
Memory Labs provides learning experiences and courses on the Service covering a variety of topics. Some courses, documents, manuals, images, logos, graphics, and other materials are offered free of charge (“Content”); others require a paid subscription (“Premium Content” and “Premium Features”). Certain users may also create and share their own courses (“User-Generated Courses”). Content, Premium Content, and User-Generated Courses are referred to collectively as “Courses.”
Your access to particular Courses or Premium Features may be subject to eligibility or usage requirements displayed on the course page.
If you remove a Course from your library and you do not have an active Premium-Content subscription, prior progress on that Course may become inaccessible. Memory Labs may remove Courses from the Service if required by law or by an intellectual-property claim (see “Copyright and Trademark Infringements” below).
Content, Premium Content, and Premium Features
All Content, Premium Content, and Premium Features are the copyrighted and/or trademarked works of Memory Labs or its contributors. Memory Labs grants you a limited, personal, non-exclusive, non-transferable licence to (i) use and display the Content and Premium Content through the Service and (ii) make one copy for personal or internal-business use.
- Your rights to free Content continue until terminated by Memory Labs.
- Your rights to Premium Content and Premium Features continue only for the paid subscription period.
Except for the licence above, you may not modify, copy, reproduce, create derivative works of, reverse-engineer, alter, or distribute the Content, Premium Content, Premium Features, the Service, or the Site, nor permit any third party to do so. If Memory Labs removes any Content or Premium Content from the Service, we will use commercially reasonable efforts to allow users who previously accessed that material to continue to do so while their access to the Service remains active, but we cannot guarantee availability.
Software Tools
The Service includes software tools that let you create User-Generated Courses. Memory Labs grants you a limited, personal, non-exclusive, non-transferable licence to use those tools solely to create User-Generated Courses for distribution on the Service. You may not distribute the software tools themselves or exploit them outside the Service. Your right to use the tools ends when these Terms, or your authorised access, terminate.
User-Generated Courses
If you create a User-Generated Course, you retain ownership, subject to the following licences:
- Memory Labs licence. You grant Memory Labs a perpetual, worldwide, royalty-free, non-exclusive licence to host, display, distribute, and (at our sole discretion) monetise the User-Generated Course on the Service.
- User licence. You grant each user authorised to access your User-Generated Course a similar perpetual, worldwide, royalty-free licence for personal or internal-business use.
Memory Labs disclaims all warranties (express, implied, or statutory) with respect to User-Generated Courses, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantee that any User-Generated Course will remain available for any minimum time. You may remove a User-Generated Course unless other users have previously cloned or modified it; those users may continue to access their copies.
Memory Labs may—but is not obliged to—promote or market User-Generated Courses. The prominence of listings is determined by proprietary algorithms at Memory Labs’ sole discretion.
Age Restrictions
Registration and participation are limited to:
- Individuals aged 18 or older;
- Emancipated minors;
- Users under 18 with verifiable parental or guardian consent; and
- Users under 13 whose parent or guardian has provided prior verifiable consent.
All registrants must meet any additional eligibility requirements in these Terms.
Authorised Users
If you receive credentials for password-protected areas of the Service, you are responsible for maintaining their confidentiality and for all activity under your account. Notify Memory Labs immediately of any unauthorised use or security breach. You may not access another customer’s data if you are not authorised for that account.
Privacy Policy
Your use of the Site and Service is governed by the Memory Labs Privacy Policy located at https://memory-labs.ai/privacy-policy.
Payment and Electronic Communications
If you purchase a subscription to Premium Content or Premium Features, you authorise Memory Labs to bill all applicable fees and taxes (collectively, “Charges”) to the payment method you provide via Stripe. Charges are non-refundable, and all purchases are non-cancellable.
Subscriptions automatically renew for successive periods equal to the initial term unless cancelled before the next renewal. You may cancel at any time to avoid future Charges, but amounts already paid are non-refundable. You authorise Memory Labs to charge your payment method on file at the start of each renewal period.
By using the Site or purchasing any paid Services, you consent to receive electronic communications from Memory Labs (e.g., receipts, account notices, legal updates).
Third-Party Content and Links
Advertisements, sponsorships, or other materials supplied by third parties (“Third-Party Content”) belong to their respective owners. You may view such content only for personal or internal-business use. Memory Labs makes no warranties regarding Third-Party Content and is not responsible for external websites linked from the Site.
Submissions
Any feedback, comments, or other information you post or submit on the Service (excluding Courses) are “Submissions.” You grant Memory Labs a perpetual, worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, distribute, modify, and create derivative works from your Submissions. You represent that you own or have rights to the Submissions and will indemnify Memory Labs against claims arising from them.
Your Responsibilities
You must have all rights to any materials you include in Submissions or User-Generated Courses. Do not post content that infringes third-party rights or violates law. You agree to reimburse Memory Labs for any costs arising from rights-infringement claims related to your content. See “Etiquette” for prohibited behaviour.
Etiquette
When using the Service you must not:
- Harass, threaten, or violate others’ legal rights;
- Post offensive, obscene, or illegal content;
- Infringe intellectual-property rights;
- Distribute spam or unsolicited promotions.
Memory Labs may remove content or suspend accounts at its sole discretion and may report illegal activity to law-enforcement authorities.
Unauthorized Activities
Unauthorised use of the Service, Courses, or Third-Party Content may violate laws. You agree to indemnify Memory Labs against any third-party claims arising from your misuse or from content posted under your account.
Proprietary Rights
Memory Labs is a trademark of Memory Labs Ltd. Other trademarks belong to their owners. All screens, designs, text, graphics, and other materials on the Site are © 2025 Memory Labs Ltd. All rights reserved.
Copyright and Trademark Infringements
If you believe your copyright or trademark is infringed on the Service, send a notice containing the information required by 17 U.S.C. §512(c)(3) to:

Disclaimer of Warranties
THE SITE, SERVICE, COURSES, SUBMISSIONS, AND THIRD-PARTY CONTENT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WHERE IS” WITHOUT WARRANTIES OF ANY KIND. MEMORY LABS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. MEMORY LABS DOES NOT WARRANT THAT YOU WILL ACHIEVE ANY LEARNING OUTCOME.
Limitation of Liability
TO THE MAXIMUM EXTENT ALLOWED BY LAW, MEMORY LABS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR REVENUE, EVEN IF A POSSIBILITY OF SUCH DAMAGES WAS KNOWN. MEMORY LABS’ TOTAL LIABILITY SHALL NOT EXCEED TWO HUNDRED U.S. DOLLARS (US $200).
Local Laws; Export Control
You are responsible for compliance with local laws wherever you access the Service.
Dispute Resolution and Binding Arbitration
- Definitions. “Claims” means all disputes between you and Memory Labs arising from or related to the Service, including the validity or scope of this clause.
- Informal Resolution. First e-mail claims@memory-labs.ai; we will try to resolve within 15 days.
- Agreement to Arbitrate. If unresolved, all Claims shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You may opt out by written notice within 30 days of first acceptance of these Terms.
- Small-Claims Exception. You may bring qualifying Claims in a U.S. small-claims court.
- Class-Action Waiver. Arbitration will be on an individual basis only.
- Location & Law. The seat of arbitration shall be Wilmington, Delaware. Proceedings will be in English before a single arbitrator. Delaware law, without regard to its conflicts-of-law rules, governs these Terms, the arbitration and any court proceedings to confirm or enforce an award.
- Time Limit. YOU MUST FILE ANY CLAIM WITHIN ONE (1) YEAR OF THE EVENT GIVING RISE TO IT.
Changes
Memory Labs may modify these Terms. For paid subscriptions, we will give 30 days’ notice of material changes. If a change has a material adverse impact, notify us within 30 days; the prior Terms will apply until your current subscription ends. Continued free-tier use after changes constitutes acceptance.
General
If any term is unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and Memory Labs regarding the Service.
Governing Law: The laws of the State of Delaware and applicable U.S. federal law govern these Terms and any dispute, without regard to conflict-of-law principles.
